This page contains the Terms and Conditions (hereinafter referred to as the “Terms”), which outline the terms governing your participation in NxtWave’s NIAT AI Challenge and the NIAT AI Bootcamp (collectively referred to as the “Programs”) organized by NxtWave Disruptive Technologies Pvt. Ltd. (hereinafter referred to as "NxtWave", "we", "us", or "our"). These Terms govern the relationship between you (hereinafter referred to as "you," "your" or "Participant") and NxtWave in connection with your participation in the Programs.

These Terms constitute a legally binding agreement between you and NxtWave. By registering for or participating in the Programs, you confirm your acceptance and agreement to be bound by these Terms. 

By registering and/or participating in the Programs, you acknowledge and agree that your participation will be governed by these Terms, the Privacy Policy, Cookie Policy and any other related terms.

In compliance with the applicable laws of India, only persons of 18 (eighteen) years of age or above are eligible to enter into a contract, accordingly, if you are below the age of 18 (eighteen) years / a minor, and you wish to enroll into the Program, our services will be made available to you upon your legal guardian / parents accepting this T&C, and providing their consent for your enrolment into the Programs. By enrolling into our Programs and availing our services, you, through your actions, affirm that you are eligible to accept the terms of this T&C and / or have the consent of your parents / legal guardians to enroll into the Programs, as the case may be.

For all minors registering into the programs, your parents / legal guardians will be responsible for your actions, including compliance with this T&C. NxtWave reserves the right to terminate the Services and / or refuse participation in the programs if it is discovered that: (a) any information provided by you (or your parents / legal guardian) is inaccurate; or (b) you are a minor and your parents / legal guardians have not consented to your participation in the programs. NxtWave is not responsible for any consequence that arises as a result of a Participant’s participation in the programs, including a minor enrolling for the Services/ Program without the consent of his/her parents / legal guardian. 

In case of minors, the terms ‘Participant/You/Your’ shall be deemed to include such Participants’ parents / legal guardians, and all obligations of such Participants set out in this T&C shall be undertaken by their legal guardians / parents instead. The Participant and NxtWave are collectively referred to as “Parties” and individually as “Party”. Participation in these Programs is entirely voluntary, if you do not agree with the terms of this T&C, kindly refrain from participating in the Programs.


  1. Definitions

For the purpose of these Terms, the following capitalized terms shall have the meanings assigned to them below:

  1. “Applicable Laws” means all relevant and enforceable laws, rules, regulations, guidelines, or notifications issued by the authorities having jurisdiction over the subject matter and location of the Programs.

  2. “Programs” means the NIAT AI Programs conducted by NxtWave, comprising various phases including registration, submission, evaluation, and prize distribution.

  3. “Official Channels” refers to communication means officially designated by NxtWave for dissemination of Program’s information, including email, website announcements, and direct communication with registered Participants.

  4. “Participant” means an individual who meets the eligibility criteria and has successfully registered to take part in the Programs.

  5. “Prize” means any reward, whether monetary or non-monetary, offered to Participants declared as winners under the Programs.

  6. “Services” shall include all websites, landing pages, registration forms, WhatsApp communities, chatbots, automation workflows, assessments, scholarship examinations, promotional campaigns, advertisements, third-party distribution channels, influencer promotions, mock tests, events, and any other related offerings operated or facilitated by NxtWave in connection with the Programs.

  7. “Submission” means the materials, entries, code, documents, videos, or any other deliverables submitted by the Participant as part of the Programs.

  8. “Third-Party Materials” means any content, including but not limited to video clips, datasets, software libraries, or other proprietary material provided by NxtWave for use solely within the scope of the Programs.


  1. Program structure & Intent

  1. The AI Challenge is a structured, weekly project-based initiative designed for Class 12 students to gain early exposure to AI through hands-on creation and "learning by doing". 

  2. The AI Bootcamp is a recurring, engagement-driven learning initiative designed specifically for Class 12 students to support academic performance while introducing them to applied AI skills. 

  3. Each AI Bootcamp session is divided into a Study Enhancement Segment, focusing on AI as a learning aid, and an AI Buildathon Segment, which consists of a guided AI project activity typically lasting 20 minutes.


  1. Eligibility

  1. Participation in the Programs are open exclusively to individuals who are currently in or have successfully completed their 12th standard (or equivalent) examinations from a recognized board or institution. Participants may be required to submit valid proof of qualification, such as mark sheets, passing certificates, or equivalent documentation, upon request by NxtWave.

  2. The Programs are open to individuals only. Participation as a team, group, or legal entity (such as companies, firms, or institutions) is not permitted unless explicitly stated in the program-specific rules.

  3. The Programs are open to residents of India. Individuals who are not Indian residents may participate only with prior written consent from NxtWave and may be subject to additional eligibility checks or restrictions.

  4. The following individuals are not eligible to participate in the Programs:

    1. Employees, interns, contractors, or officers of NxtWave or its affiliates;

    2. Immediate family members (spouse, parent, sibling, or child) of individuals mentioned above;

    3. Individuals directly involved in the administration, judging, or management of the Programs.

  5. The Company reserves the right to verify the eligibility of any Participant at any stage of the Programs and disqualify those who do not meet the criteria or who provide false, incomplete, or misleading information. Such disqualification may occur without prior notice and may result in forfeiture of prizes, if any.


4. Program Timeline

  1. The specific dates for commencement, submission deadlines, evaluation phases, and result announcements for each phase of the weekly Programs will be communicated separately by the Company through official channels, including the Program's website, email notifications, WhatsApp or other designated communication platforms.

  2. All Participants are required to adhere strictly to the program Timeline as published. Submissions received after the specified deadline for any phase will not be considered for evaluation, irrespective of the reason for delay, including but not limited to technical or connectivity issues.

  3. NxtWave reserves the right, at its sole discretion, to revise, postpone, or extend any part of the program timeline at any time, at its sole discretion. Any such changes will be communicated promptly through official channels.

  4. Participants acknowledge and agree that they shall not be entitled to make any claims or raise objections in the event of any rescheduling, delay, or cancellation of any phase of the Programs.


  1. Registration and Participation

  1. To participate in the Programs, individuals must complete the official registration process by submitting accurate, complete, and up-to-date information through the designated Programs’ Platform or form provided by NxtWave. Registration shall be deemed complete only upon receipt of a confirmation from the Company.

  2. Upon successful registration, participants are redirected to and must join the official WhatsApp Community to participate.

  3. Participants are solely responsible for ensuring the accuracy and validity of the information submitted during registration. Any false, misleading, or incomplete information may result in immediate disqualification without notice.

  4. Each Participant may register and participate using a single identity and contact information. Multiple entries or registrations by the same individual using different names, email addresses, or credentials are strictly prohibited and shall lead to disqualification.

  5. Participants are responsible for arranging their own access to a stable internet connection, suitable computing equipment, and any other resources required to participate in the Programs. NxtWave shall not be held liable for any issues arising out of the unavailability of such resources.

  6. Participants must conduct themselves with integrity and professionalism throughout the Programs. Any use of offensive language, discriminatory conduct, unauthorized collaboration, or unethical behavior—online or offline—may result in immediate disqualification.

  7. NxtWave reserves the right to refuse registration or participation to any individual at its sole discretion, including (but not limited to) cases where the individual is found to be ineligible, in breach of these Terms, or engaged in activities that may compromise the fairness or reputation of the Programs.


  1. Submission Guidelines

  1. Participants must ensure that all submissions comply with the specific format, resolution, size, file type, and other technical specifications communicated by the Company for the respective phase of the Programs. Non-compliant submissions may be rejected without further review.

  2. All submissions must be the original work of the Participant. Collaborative or group work is not permitted unless explicitly allowed under the Program's rules. Participants must not submit work that:

    1. Has been plagiarized;

    2. Was previously submitted to any other competition or event;

    3. Violates the intellectual property rights of any third party.

  3. All submissions must be received on or before the deadline specified in the Programs Timeline. Submissions received after the deadline, whether due to technical issues or any other reason, will not be considered for evaluation. 

  4. If Participants are provided with or allowed to use any third-party material (e.g., data sets, media clips, code libraries), such material shall be used strictly in accordance with the Program’s Rules and only for the purposes of the Programs. The final submission must not infringe upon any copyright, trademark, or intellectual property rights.

  5. Unless explicitly permitted, Participants may not submit more than one entry. Where multiple submissions or revisions are allowed, only the most recent submission received before the deadline will be considered.

  6. Submissions must not contain any viruses, malware, spyware, or other malicious code. Any submission found to compromise the integrity or security of the Programs’ platform or the systems of NxtWave may result in immediate disqualification and potential legal action.

  7. Submissions must not contain any offensive, obscene, defamatory, libelous, or discriminatory content. Any such submissions will be automatically rejected, and the Participant may be disqualified at the sole discretion of NxtWave.


  1. Submission Guidelines

  1. NxtWave reserves the unfettered right to disqualify, at any stage of the Programs and without prior notice, any Participant who, in the sole judgment of NxtWave:

    • Fails to meet the eligibility criteria as outlined in these Terms;

    • Provides false, misleading, forged, or materially incomplete information during registration or at any point during the Programs;

    • Engages in plagiarism, infringement of intellectual property rights, or submits work not authored solely by the Participant, except where expressly permitted;

    • NxtWave reserves the right to employ automated plagiarism detection tools, manual reviews, and other measures to verify the authenticity and originality of all Submissions at any stage of the Programs. Violates any provision of these Terms or any additional rules or policies issued in connection with the Programs;

    • Attempts to interfere with or undermine the integrity, security, or legitimate operation of the Programs platform or related systems;

    • Participates using multiple identities, accounts, or registrations;Engages in any form of collusion, manipulation, unethical behavior, or misconduct, whether online or offline, that adversely affects the fairness or reputation of the Programs;

    • Fails to comply with any instruction, direction, or request lawfully issued by NxtWave or its authorized representatives.Participant is found to have engaged in misconduct, manipulation, or unethical behavior; or

    • NxtWave, in good faith, determines that awarding the Prize would adversely affect the integrity or reputation of the Programs.

  2. Upon disqualification, the affected Participant shall forfeit any claim to Prizes, recognition, or continued participation in the Programs. If disqualification occurs after the award of a Prize, NxtWave reserves the right to rescind the award and reclaim the Prize or its value through any lawful means.

  3. All decisions regarding disqualification shall be final and binding. No appeals, challenges, or requests for reconsideration shall be entertained.

  4. The exercise or non-exercise of any right of disqualification by NxtWave shall not constitute a waiver of such right with respect to any other Participant or future occurrence.


  1. Data Protection and Privacy

  1. The Company collects, stores, and processes Participant data for the administration, operation, evaluation, improvement, and promotion of the Programs and related Services, in accordance with applicable laws, including the Digital Personal Data Protection Act, 2023, and the Company’s Privacy Policy, which forms an integral part of these Terms.

  2. Such data without limitation may include:

    • Name, phone number, email address, and other contact details;

    • Educational information including entrance examinations, stream, branch, current qualification, college, year of graduation, and academic preferences;

    • Geographic information such as state and district;

    • Interaction data, usage metrics, responses submitted through WhatsApp, forms, applications, scholarship examinations, mock tests, or other tools;

    • Device, browser, IP address, cookies, and other technical or behavioural information.

  3. By registering for or participating in the Programs, the Participant expressly consents to the collection, storage, use, processing, and disclosure of such personal data for purposes including, without limitation: identity verification; eligibility determination; Program administration; evaluation (including automated assessment); judging and prize distribution; communication of results; analytics, research, and service improvement; compliance with legal obligations; and promotional, advertising, marketing, and informational activities, including future opportunities and other products, services, or programs offered by the Company.

  4. Personal data may be shared with affiliates, third-party service providers, judges, partners, or statutory authorities solely to the extent necessary for the above purposes and in compliance with applicable law. The Company shall implement reasonable security measures to protect personal data against unauthorized access, disclosure, alteration, or misuse.

  5. The Participant authorizes the Company to contact them via calls, AI-powered calls SMS, WhatsApp, RCS (Rich Communication Services), email, IVRS, or other electronic or physical communication channels for communications relating to the Programs as well as any other programs, courses, certifications, events, products, services, or offerings provided by NxtWave, including promotional and marketing communications, notwithstanding registration under any DND/DNC registry, subject to applicable law. 

  6. In the case of a minor Participant, such consent shall be deemed to have been provided by the parent or legal guardian.

  7. The Company may retain personal data for as long as necessary to fulfil legitimate business purposes or to comply with legal or statutory obligations. Aggregated or anonymised data that does not identify an individual may be retained and used indefinitely for analytical and business purposes.

  8. Participants may exercise rights relating to access, correction, withdrawal of consent, or grievance redressal in accordance with the Privacy Policy.

  1. Intellectual Property

  1. All rights, title, and interest, including intellectual property rights, in and to the Submissions created, developed, or submitted by the Participant as part of the Programs shall, upon submission, vest solely and exclusively with NxtWave. To the extent any such rights do not automatically vest in NxtWave by operation of law, the Participant hereby irrevocably assigns all such rights, title, and interest to NxtWave, without any requirement of further compensation or documentation.

  2. If the Submission contains any third-party content, the Participant represents and warrants that it has obtained all necessary rights, licenses, consents, and permissions to include such content and to grant the rights assigned or licensed herein to NxtWave. The Participant shall indemnify and hold harmless NxtWave from any claims arising out of the use of such third-party content.

  3. Any data, content, tools, APIs, or other materials provided by NxtWave for the purpose of the Programs shall remain the sole property of NxtWave or its licensors. The Participant is granted a limited, non-transferable, non-exclusive, revocable license to use such materials solely for participation in the Programs.


  1. Judging and Prizes

  1. All eligible Submissions shall be subject to evaluation by a panel of judges (“Judging Panel”) duly appointed by NxtWave at its sole discretion. 

  2. The Judging Panel shall evaluate Submissions based on predetermined criteria including, but not limited to, originality, technical accuracy, creativity, innovation, adherence to the Programs guidelines, and potential applicability. NxtWave reserves the right to modify, add to, or delete any of the evaluation criteria without prior notice and at its sole discretion.

  3. The decisions of the Judging Panel, once made, shall be final, conclusive, and binding on all Participants. No correspondence, appeal, or challenge in respect of the evaluation process or the decisions of the Judging Panel shall be entertained under any circumstances.

  4. Participants selected as winners shall be notified through the contact information provided at the time of registration. NxtWave shall not be liable for any delay, miscommunication, or failure in such notification due to incorrect or outdated contact details.

  5. NxtWave may, at its discretion, introduce rewards and prizes for top-performing Participants from time to time. Any benefits, incentives, or rewards, if any, offered under such initiatives shall be discretionary and contingent upon the fulfillment of the eligibility criteria as may be determined by the Company. The Company reserves full authority to modify, suspend, or discontinue any such initiative at any time without prior notice or liability.

  6. The distribution of Prizes, if any, shall be carried out at such time and in such manner as the Company may determine in its sole discretion. Any timelines indicated in connection with Prize distribution are estimates only and shall not be construed as a commitment or obligation on the part of NxtWave. The Company shall not be liable for any delay, non-delivery, or change in the mode of Prize fulfillment, however caused, and Participants shall have no right to make any claim against the Company on account thereof.

  7. All Prizes awarded pursuant to the Programs are non-transferable, non-exchangeable, and not redeemable for cash or any other consideration. NxtWave reserves the right to substitute any Prize with an alternative of equivalent or greater value, at its sole discretion and without prior notice.

  8. All taxes, levies, and statutory deductions, if any, arising from the receipt of any Prize shall be the sole responsibility of the Participant. NxtWave shall not be liable to provide any tax advice or bear any tax liability arising from such receipt.


  1. No Admission or Guarantee

Participation in the Programs shall not be construed as, nor shall it constitute, an offer of admission, confirmation of seat, grant of scholarship, assurance of placement, or automatic enrollment into NIAT or any other program offered by NxtWave. Nothing contained in these Terms, nor any communication, representation, performance, evaluation outcome, ranking, certificate, recognition, or Prize awarded pursuant to the Programs, shall create or be deemed to create any right, entitlement, claim, assurance, or legitimate expectation of admission into any program conducted by NxtWave. Admission to any separate program of NxtWave shall be subject to independent eligibility criteria, application and selection processes, screening requirements, submission of documentation, payment of applicable fees, execution of separate legally binding agreements, and such other terms and conditions as may be prescribed by NxtWave from time to time, at its sole discretion.


  1. Miscellaneous

  1. These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, shall first be referred in writing to the NxtWave for an amicable resolution. In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Programs, the Parties shall first attempt to resolve the matter through good-faith negotiations. The aggrieved Party shall provide a detailed written notice of the dispute to NxtWave. Following such notice, authorized representatives of both Parties shall engage in discussions for a period of at least 30 (thirty) days to reach an amicable settlement.  If the dispute cannot be resolved through the amicable process described above, the courts in Hyderabad, India, shall have exclusive jurisdiction to settle any such dispute or claim.

  2. Each Participant agrees to indemnify, defend, and hold harmless NxtWave, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) any breach by the Participant of these Terms or any applicable law; (b) any third-party claim alleging that the Participant’s Submission infringes or misappropriates any intellectual property or proprietary right; (c) any misrepresentation, fraud, negligence, or misconduct by the Participant during the course of the Programs; or (d) any unauthorized use or disclosure of confidential or proprietary materials provided by NxtWave. This obligation shall survive completion, expiration, or termination of the Programs.

  3. The Programs and all related services, materials, and third-party content are provided on an “as is” and “as available” basis. NxtWave disclaims all express and implied warranties, including those of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access. To the fullest extent permitted by law, NxtWave and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages, including loss of profits, data, or business, arising from participation in the Programs, technical issues, third-party tools, or use/misuse of any Prize.

  4. The provisions of these Terms which by their nature are intended to survive termination shall so survive, including without limitation Clause 7 (Judging and Prizes), Clause 8 (Disqualification), Clause 9 (Intellectual Property), Clause 14 (Miscellaneous), and this Clause. Any other provisions which by their nature ought or are intended to survive the termination or expiration of these Terms shall remain in full force and effect notwithstanding such termination.

  5. NxtWave reserves the right to amend, modify, or update these Terms at its sole discretion, at any time, without prior notice. Any such changes shall be effective immediately upon being posted on the official website along with the date of revision. Continued participation in the Programs after such posting shall constitute deemed acceptance of the revised Terms.

  6. No failure or delay by NxtWave in exercising any right, remedy, or power under these Terms shall constitute a waiver thereof, nor shall any single or partial exercise preclude any further exercise of such right or any other right, remedy, or power.

  7. These Terms, together with the Privacy Policy, Cookie Policy, constitute the entire agreement between the Parties with respect to the Programs. All prior agreements, understandings, or communications, whether oral or written, are hereby superseded.

  8. If any provision of these Terms is held to be invalid, unlawful, or unenforceable under applicable law, such provision shall be severed and the remaining provisions shall remain in full force and effect.

  9. The Participant may not assign, delegate, or transfer any rights or obligations under these Terms without the prior written consent of NxtWave. Any such attempted assignment without consent shall be null and void.

  10. Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between the Participant and NxtWave. Each Party shall remain an independent entity.

  11. NxtWave shall not be liable for any failure or delay in performance under these Terms due to force majeure events that are beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, governmental restrictions, labor disputes, or interruption of internet or communication services.

    2. Immediate family members (spouse, parent, sibling, or child) of individuals mentioned above;

    3. Individuals directly involved in the administration, judging, or management of the Programs.

  5. The Company reserves the right to verify the eligibility of any Participant at any stage of the Programs and disqualify those who do not meet the criteria or who provide false, incomplete, or misleading information. Such disqualification may occur without prior notice and may result in forfeiture of prizes, if any.


4. Program Timeline

  1. The specific dates for commencement, submission deadlines, evaluation phases, and result announcements for each phase of the weekly Programs will be communicated separately by the Company through official channels, including the Program's website, email notifications, WhatsApp or other designated communication platforms.

  2. All Participants are required to adhere strictly to the program Timeline as published. Submissions received after the specified deadline for any phase will not be considered for evaluation, irrespective of the reason for delay, including but not limited to technical or connectivity issues.

  3. NxtWave reserves the right, at its sole discretion, to revise, postpone, or extend any part of the program timeline at any time, at its sole discretion. Any such changes will be communicated promptly through official channels.

  4. Participants acknowledge and agree that they shall not be entitled to make any claims or raise objections in the event of any rescheduling, delay, or cancellation of any phase of the Programs.


  1. Registration and Participation

  1. To participate in the Programs, individuals must complete the official registration process by submitting accurate, complete, and up-to-date information through the designated Programs’ Platform or form provided by NxtWave. Registration shall be deemed complete only upon receipt of a confirmation from the Company.

  2. Upon successful registration, participants are redirected to and must join the official WhatsApp Community to participate.

  3. Participants are solely responsible for ensuring the accuracy and validity of the information submitted during registration. Any false, misleading, or incomplete information may result in immediate disqualification without notice.

  4. Each Participant may register and participate using a single identity and contact information. Multiple entries or registrations by the same individual using different names, email addresses, or credentials are strictly prohibited and shall lead to disqualification.

  5. Participants are responsible for arranging their own access to a stable internet connection, suitable computing equipment, and any other resources required to participate in the Programs. NxtWave shall not be held liable for any issues arising out of the unavailability of such resources.

  6. Participants must conduct themselves with integrity and professionalism throughout the Programs. Any use of offensive language, discriminatory conduct, unauthorized collaboration, or unethical behavior—online or offline—may result in immediate disqualification.

  7. NxtWave reserves the right to refuse registration or participation to any individual at its sole discretion, including (but not limited to) cases where the individual is found to be ineligible, in breach of these Terms, or engaged in activities that may compromise the fairness or reputation of the Programs.


  1. Submission Guidelines

  1. Participants must ensure that all submissions comply with the specific format, resolution, size, file type, and other technical specifications communicated by the Company for the respective phase of the Programs. Non-compliant submissions may be rejected without further review.

  2. All submissions must be the original work of the Participant. Collaborative or group work is not permitted unless explicitly allowed under the Program's rules. Participants must not submit work that:

    1. Has been plagiarized;

    2. Was previously submitted to any other competition or event;

    3. Violates the intellectual property rights of any third party.

  3. All submissions must be received on or before the deadline specified in the Programs Timeline. Submissions received after the deadline, whether due to technical issues or any other reason, will not be considered for evaluation. 

  4. If Participants are provided with or allowed to use any third-party material (e.g., data sets, media clips, code libraries), such material shall be used strictly in accordance with the Program’s Rules and only for the purposes of the Programs. The final submission must not infringe upon any copyright, trademark, or intellectual property rights.

  5. Unless explicitly permitted, Participants may not submit more than one entry. Where multiple submissions or revisions are allowed, only the most recent submission received before the deadline will be considered.

  6. Submissions must not contain any viruses, malware, spyware, or other malicious code. Any submission found to compromise the integrity or security of the Programs’ platform or the systems of NxtWave may result in immediate disqualification and potential legal action.

  7. Submissions must not contain any offensive, obscene, defamatory, libelous, or discriminatory content. Any such submissions will be automatically rejected, and the Participant may be disqualified at the sole discretion of NxtWave.


  1. Submission Guidelines

  1. NxtWave reserves the unfettered right to disqualify, at any stage of the Programs and without prior notice, any Participant who, in the sole judgment of NxtWave:

    • Fails to meet the eligibility criteria as outlined in these Terms;

    • Provides false, misleading, forged, or materially incomplete information during registration or at any point during the Programs;

    • Engages in plagiarism, infringement of intellectual property rights, or submits work not authored solely by the Participant, except where expressly permitted;

    • NxtWave reserves the right to employ automated plagiarism detection tools, manual reviews, and other measures to verify the authenticity and originality of all Submissions at any stage of the Programs. Violates any provision of these Terms or any additional rules or policies issued in connection with the Programs;

    • Attempts to interfere with or undermine the integrity, security, or legitimate operation of the Programs platform or related systems;

    • Participates using multiple identities, accounts, or registrations;Engages in any form of collusion, manipulation, unethical behavior, or misconduct, whether online or offline, that adversely affects the fairness or reputation of the Programs;

    • Fails to comply with any instruction, direction, or request lawfully issued by NxtWave or its authorized representatives.Participant is found to have engaged in misconduct, manipulation, or unethical behavior; or

    • NxtWave, in good faith, determines that awarding the Prize would adversely affect the integrity or reputation of the Programs.

  2. Upon disqualification, the affected Participant shall forfeit any claim to Prizes, recognition, or continued participation in the Programs. If disqualification occurs after the award of a Prize, NxtWave reserves the right to rescind the award and reclaim the Prize or its value through any lawful means.

  3. All decisions regarding disqualification shall be final and binding. No appeals, challenges, or requests for reconsideration shall be entertained.

  4. The exercise or non-exercise of any right of disqualification by NxtWave shall not constitute a waiver of such right with respect to any other Participant or future occurrence.


  1. Data Protection and Privacy

  1. The Company collects, stores, and processes Participant data for the administration, operation, evaluation, improvement, and promotion of the Programs and related Services, in accordance with applicable laws, including the Digital Personal Data Protection Act, 2023, and the Company’s Privacy Policy, which forms an integral part of these Terms.

  2. Such data without limitation may include:

    • Name, phone number, email address, and other contact details;

    • Educational information including entrance examinations, stream, branch, current qualification, college, year of graduation, and academic preferences;

    • Geographic information such as state and district;

    • Interaction data, usage metrics, responses submitted through WhatsApp, forms, applications, scholarship examinations, mock tests, or other tools;

    • Device, browser, IP address, cookies, and other technical or behavioural information.

  3. By registering for or participating in the Programs, the Participant expressly consents to the collection, storage, use, processing, and disclosure of such personal data for purposes including, without limitation: identity verification; eligibility determination; Program administration; evaluation (including automated assessment); judging and prize distribution; communication of results; analytics, research, and service improvement; compliance with legal obligations; and promotional, advertising, marketing, and informational activities, including future opportunities and other products, services, or programs offered by the Company.

  4. Personal data may be shared with affiliates, third-party service providers, judges, partners, or statutory authorities solely to the extent necessary for the above purposes and in compliance with applicable law. The Company shall implement reasonable security measures to protect personal data against unauthorized access, disclosure, alteration, or misuse.

  5. The Participant authorizes the Company to contact them via calls, AI-powered calls SMS, WhatsApp, RCS (Rich Communication Services), email, IVRS, or other electronic or physical communication channels for communications relating to the Programs as well as any other programs, courses, certifications, events, products, services, or offerings provided by NxtWave, including promotional and marketing communications, notwithstanding registration under any DND/DNC registry, subject to applicable law. 

  6. In the case of a minor Participant, such consent shall be deemed to have been provided by the parent or legal guardian.

  7. The Company may retain personal data for as long as necessary to fulfil legitimate business purposes or to comply with legal or statutory obligations. Aggregated or anonymised data that does not identify an individual may be retained and used indefinitely for analytical and business purposes.

  8. Participants may exercise rights relating to access, correction, withdrawal of consent, or grievance redressal in accordance with the Privacy Policy.

  1. Intellectual Property

  1. All rights, title, and interest, including intellectual property rights, in and to the Submissions created, developed, or submitted by the Participant as part of the Programs shall, upon submission, vest solely and exclusively with NxtWave. To the extent any such rights do not automatically vest in NxtWave by operation of law, the Participant hereby irrevocably assigns all such rights, title, and interest to NxtWave, without any requirement of further compensation or documentation.

  2. If the Submission contains any third-party content, the Participant represents and warrants that it has obtained all necessary rights, licenses, consents, and permissions to include such content and to grant the rights assigned or licensed herein to NxtWave. The Participant shall indemnify and hold harmless NxtWave from any claims arising out of the use of such third-party content.

  3. Any data, content, tools, APIs, or other materials provided by NxtWave for the purpose of the Programs shall remain the sole property of NxtWave or its licensors. The Participant is granted a limited, non-transferable, non-exclusive, revocable license to use such materials solely for participation in the Programs.


  1. Judging and Prizes

  1. All eligible Submissions shall be subject to evaluation by a panel of judges (“Judging Panel”) duly appointed by NxtWave at its sole discretion. 

  2. The Judging Panel shall evaluate Submissions based on predetermined criteria including, but not limited to, originality, technical accuracy, creativity, innovation, adherence to the Programs guidelines, and potential applicability. NxtWave reserves the right to modify, add to, or delete any of the evaluation criteria without prior notice and at its sole discretion.

  3. The decisions of the Judging Panel, once made, shall be final, conclusive, and binding on all Participants. No correspondence, appeal, or challenge in respect of the evaluation process or the decisions of the Judging Panel shall be entertained under any circumstances.

  4. Participants selected as winners shall be notified through the contact information provided at the time of registration. NxtWave shall not be liable for any delay, miscommunication, or failure in such notification due to incorrect or outdated contact details.

  5. NxtWave may, at its discretion, introduce rewards and prizes for top-performing Participants from time to time. Any benefits, incentives, or rewards, if any, offered under such initiatives shall be discretionary and contingent upon the fulfillment of the eligibility criteria as may be determined by the Company. The Company reserves full authority to modify, suspend, or discontinue any such initiative at any time without prior notice or liability.

  6. The distribution of Prizes, if any, shall be carried out at such time and in such manner as the Company may determine in its sole discretion. Any timelines indicated in connection with Prize distribution are estimates only and shall not be construed as a commitment or obligation on the part of NxtWave. The Company shall not be liable for any delay, non-delivery, or change in the mode of Prize fulfillment, however caused, and Participants shall have no right to make any claim against the Company on account thereof.

  7. All Prizes awarded pursuant to the Programs are non-transferable, non-exchangeable, and not redeemable for cash or any other consideration. NxtWave reserves the right to substitute any Prize with an alternative of equivalent or greater value, at its sole discretion and without prior notice.

  8. All taxes, levies, and statutory deductions, if any, arising from the receipt of any Prize shall be the sole responsibility of the Participant. NxtWave shall not be liable to provide any tax advice or bear any tax liability arising from such receipt.


  1. No Admission or Guarantee

Participation in the Programs shall not be construed as, nor shall it constitute, an offer of admission, confirmation of seat, grant of scholarship, assurance of placement, or automatic enrollment into NIAT or any other program offered by NxtWave. Nothing contained in these Terms, nor any communication, representation, performance, evaluation outcome, ranking, certificate, recognition, or Prize awarded pursuant to the Programs, shall create or be deemed to create any right, entitlement, claim, assurance, or legitimate expectation of admission into any program conducted by NxtWave. Admission to any separate program of NxtWave shall be subject to independent eligibility criteria, application and selection processes, screening requirements, submission of documentation, payment of applicable fees, execution of separate legally binding agreements, and such other terms and conditions as may be prescribed by NxtWave from time to time, at its sole discretion.


  1. Miscellaneous

  1. These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, shall first be referred in writing to the NxtWave for an amicable resolution. In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Programs, the Parties shall first attempt to resolve the matter through good-faith negotiations. The aggrieved Party shall provide a detailed written notice of the dispute to NxtWave. Following such notice, authorized representatives of both Parties shall engage in discussions for a period of at least 30 (thirty) days to reach an amicable settlement.  If the dispute cannot be resolved through the amicable process described above, the courts in Hyderabad, India, shall have exclusive jurisdiction to settle any such dispute or claim.

  2. Each Participant agrees to indemnify, defend, and hold harmless NxtWave, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) any breach by the Participant of these Terms or any applicable law; (b) any third-party claim alleging that the Participant’s Submission infringes or misappropriates any intellectual property or proprietary right; (c) any misrepresentation, fraud, negligence, or misconduct by the Participant during the course of the Programs; or (d) any unauthorized use or disclosure of confidential or proprietary materials provided by NxtWave. This obligation shall survive completion, expiration, or termination of the Programs.

  3. The Programs and all related services, materials, and third-party content are provided on an “as is” and “as available” basis. NxtWave disclaims all express and implied warranties, including those of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access. To the fullest extent permitted by law, NxtWave and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages, including loss of profits, data, or business, arising from participation in the Programs, technical issues, third-party tools, or use/misuse of any Prize.

  4. The provisions of these Terms which by their nature are intended to survive termination shall so survive, including without limitation Clause 7 (Judging and Prizes), Clause 8 (Disqualification), Clause 9 (Intellectual Property), Clause 14 (Miscellaneous), and this Clause. Any other provisions which by their nature ought or are intended to survive the termination or expiration of these Terms shall remain in full force and effect notwithstanding such termination.

  5. NxtWave reserves the right to amend, modify, or update these Terms at its sole discretion, at any time, without prior notice. Any such changes shall be effective immediately upon being posted on the official website along with the date of revision. Continued participation in the Programs after such posting shall constitute deemed acceptance of the revised Terms.

  6. No failure or delay by NxtWave in exercising any right, remedy, or power under these Terms shall constitute a waiver thereof, nor shall any single or partial exercise preclude any further exercise of such right or any other right, remedy, or power.

  7. These Terms, together with the Privacy Policy, Cookie Policy, constitute the entire agreement between the Parties with respect to the Programs. All prior agreements, understandings, or communications, whether oral or written, are hereby superseded.

  8. If any provision of these Terms is held to be invalid, unlawful, or unenforceable under applicable law, such provision shall be severed and the remaining provisions shall remain in full force and effect.

  9. The Participant may not assign, delegate, or transfer any rights or obligations under these Terms without the prior written consent of NxtWave. Any such attempted assignment without consent shall be null and void.

  10. Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between the Participant and NxtWave. Each Party shall remain an independent entity.

  11. NxtWave shall not be liable for any failure or delay in performance under these Terms due to force majeure events that are beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, governmental restrictions, labor disputes, or interruption of internet or communication services.

This page contains the Terms and Conditions (hereinafter referred to as the “Terms”), which outline the terms governing your participation in NxtWave’s NIAT AI Challenge and the NIAT AI Bootcamp (collectively referred to as the “Programs”) organized by NxtWave Disruptive Technologies Pvt. Ltd. (hereinafter referred to as "NxtWave", "we", "us", or "our"). These Terms govern the relationship between you (hereinafter referred to as "you," "your" or "Participant") and NxtWave in connection with your participation in the Programs.

These Terms constitute a legally binding agreement between you and NxtWave. By registering for or participating in the Programs, you confirm your acceptance and agreement to be bound by these Terms. 

By registering and/or participating in the Programs, you acknowledge and agree that your participation will be governed by these Terms, the Privacy Policy, Cookie Policy and any other related terms.

In compliance with the applicable laws of India, only persons of 18 (eighteen) years of age or above are eligible to enter into a contract, accordingly, if you are below the age of 18 (eighteen) years / a minor, and you wish to enroll into the Program, our services will be made available to you upon your legal guardian / parents accepting this T&C, and providing their consent for your enrolment into the Programs. By enrolling into our Programs and availing our services, you, through your actions, affirm that you are eligible to accept the terms of this T&C and / or have the consent of your parents / legal guardians to enroll into the Programs, as the case may be.

For all minors registering into the programs, your parents / legal guardians will be responsible for your actions, including compliance with this T&C. NxtWave reserves the right to terminate the Services and / or refuse participation in the programs if it is discovered that: (a) any information provided by you (or your parents / legal guardian) is inaccurate; or (b) you are a minor and your parents / legal guardians have not consented to your participation in the programs. NxtWave is not responsible for any consequence that arises as a result of a Participant’s participation in the programs, including a minor enrolling for the Services/ Program without the consent of his/her parents / legal guardian. 

In case of minors, the terms ‘Participant/You/Your’ shall be deemed to include such Participants’ parents / legal guardians, and all obligations of such Participants set out in this T&C shall be undertaken by their legal guardians / parents instead. The Participant and NxtWave are collectively referred to as “Parties” and individually as “Party”. Participation in these Programs is entirely voluntary, if you do not agree with the terms of this T&C, kindly refrain from participating in the Programs.


  1. Definitions

For the purpose of these Terms, the following capitalized terms shall have the meanings assigned to them below:

  1. “Applicable Laws” means all relevant and enforceable laws, rules, regulations, guidelines, or notifications issued by the authorities having jurisdiction over the subject matter and location of the Programs.

  2. “Programs” means the NIAT AI Programs conducted by NxtWave, comprising various phases including registration, submission, evaluation, and prize distribution.

  3. “Official Channels” refers to communication means officially designated by NxtWave for dissemination of Program’s information, including email, website announcements, and direct communication with registered Participants.

  4. “Participant” means an individual who meets the eligibility criteria and has successfully registered to take part in the Programs.

  5. “Prize” means any reward, whether monetary or non-monetary, offered to Participants declared as winners under the Programs.

  6. “Services” shall include all websites, landing pages, registration forms, WhatsApp communities, chatbots, automation workflows, assessments, scholarship examinations, promotional campaigns, advertisements, third-party distribution channels, influencer promotions, mock tests, events, and any other related offerings operated or facilitated by NxtWave in connection with the Programs.

  7. “Submission” means the materials, entries, code, documents, videos, or any other deliverables submitted by the Participant as part of the Programs.

  8. “Third-Party Materials” means any content, including but not limited to video clips, datasets, software libraries, or other proprietary material provided by NxtWave for use solely within the scope of the Programs.


  1. Program structure & Intent

  1. The AI Challenge is a structured, weekly project-based initiative designed for Class 12 students to gain early exposure to AI through hands-on creation and "learning by doing". 

  2. The AI Bootcamp is a recurring, engagement-driven learning initiative designed specifically for Class 12 students to support academic performance while introducing them to applied AI skills. 

  3. Each AI Bootcamp session is divided into a Study Enhancement Segment, focusing on AI as a learning aid, and an AI Buildathon Segment, which consists of a guided AI project activity typically lasting 20 minutes.


  1. Eligibility

  1. Participation in the Programs are open exclusively to individuals who are currently in or have successfully completed their 12th standard (or equivalent) examinations from a recognized board or institution. Participants may be required to submit valid proof of qualification, such as mark sheets, passing certificates, or equivalent documentation, upon request by NxtWave.

  2. The Programs are open to individuals only. Participation as a team, group, or legal entity (such as companies, firms, or institutions) is not permitted unless explicitly stated in the program-specific rules.

  3. The Programs are open to residents of India. Individuals who are not Indian residents may participate only with prior written consent from NxtWave and may be subject to additional eligibility checks or restrictions.

  4. The following individuals are not eligible to participate in the Programs:

    1. Employees, interns, contractors, or officers of NxtWave or its affiliates;

    2. Immediate family members (spouse, parent, sibling, or child) of individuals mentioned above;

    3. Individuals directly involved in the administration, judging, or management of the Programs.

    • Fails to comply with any instruction, direction, or request lawfully issued by NxtWave or its authorized representatives.Participant is found to have engaged in misconduct, manipulation, or unethical behavior; or

    • NxtWave, in good faith, determines that awarding the Prize would adversely affect the integrity or reputation of the Programs.

  2. Upon disqualification, the affected Participant shall forfeit any claim to Prizes, recognition, or continued participation in the Programs. If disqualification occurs after the award of a Prize, NxtWave reserves the right to rescind the award and reclaim the Prize or its value through any lawful means.

  3. All decisions regarding disqualification shall be final and binding. No appeals, challenges, or requests for reconsideration shall be entertained.

  4. The exercise or non-exercise of any right of disqualification by NxtWave shall not constitute a waiver of such right with respect to any other Participant or future occurrence.


  1. Data Protection and Privacy

  1. The Company collects, stores, and processes Participant data for the administration, operation, evaluation, improvement, and promotion of the Programs and related Services, in accordance with applicable laws, including the Digital Personal Data Protection Act, 2023, and the Company’s Privacy Policy, which forms an integral part of these Terms.

  2. Such data without limitation may include:

    • Name, phone number, email address, and other contact details;

    • Educational information including entrance examinations, stream, branch, current qualification, college, year of graduation, and academic preferences;

    • Geographic information such as state and district;

    • Interaction data, usage metrics, responses submitted through WhatsApp, forms, applications, scholarship examinations, mock tests, or other tools;

    • Device, browser, IP address, cookies, and other technical or behavioural information.

  3. By registering for or participating in the Programs, the Participant expressly consents to the collection, storage, use, processing, and disclosure of such personal data for purposes including, without limitation: identity verification; eligibility determination; Program administration; evaluation (including automated assessment); judging and prize distribution; communication of results; analytics, research, and service improvement; compliance with legal obligations; and promotional, advertising, marketing, and informational activities, including future opportunities and other products, services, or programs offered by the Company.

  4. Personal data may be shared with affiliates, third-party service providers, judges, partners, or statutory authorities solely to the extent necessary for the above purposes and in compliance with applicable law. The Company shall implement reasonable security measures to protect personal data against unauthorized access, disclosure, alteration, or misuse.

  5. The Participant authorizes the Company to contact them via calls, AI-powered calls SMS, WhatsApp, RCS (Rich Communication Services), email, IVRS, or other electronic or physical communication channels for communications relating to the Programs as well as any other programs, courses, certifications, events, products, services, or offerings provided by NxtWave, including promotional and marketing communications, notwithstanding registration under any DND/DNC registry, subject to applicable law. 

  6. In the case of a minor Participant, such consent shall be deemed to have been provided by the parent or legal guardian.

  7. The Company may retain personal data for as long as necessary to fulfil legitimate business purposes or to comply with legal or statutory obligations. Aggregated or anonymised data that does not identify an individual may be retained and used indefinitely for analytical and business purposes.

  8. Participants may exercise rights relating to access, correction, withdrawal of consent, or grievance redressal in accordance with the Privacy Policy.

  1. Intellectual Property

  1. All rights, title, and interest, including intellectual property rights, in and to the Submissions created, developed, or submitted by the Participant as part of the Programs shall, upon submission, vest solely and exclusively with NxtWave. To the extent any such rights do not automatically vest in NxtWave by operation of law, the Participant hereby irrevocably assigns all such rights, title, and interest to NxtWave, without any requirement of further compensation or documentation.

  2. If the Submission contains any third-party content, the Participant represents and warrants that it has obtained all necessary rights, licenses, consents, and permissions to include such content and to grant the rights assigned or licensed herein to NxtWave. The Participant shall indemnify and hold harmless NxtWave from any claims arising out of the use of such third-party content.

  3. Any data, content, tools, APIs, or other materials provided by NxtWave for the purpose of the Programs shall remain the sole property of NxtWave or its licensors. The Participant is granted a limited, non-transferable, non-exclusive, revocable license to use such materials solely for participation in the Programs.


  1. Judging and Prizes

  1. All eligible Submissions shall be subject to evaluation by a panel of judges (“Judging Panel”) duly appointed by NxtWave at its sole discretion. 

  2. The Judging Panel shall evaluate Submissions based on predetermined criteria including, but not limited to, originality, technical accuracy, creativity, innovation, adherence to the Programs guidelines, and potential applicability. NxtWave reserves the right to modify, add to, or delete any of the evaluation criteria without prior notice and at its sole discretion.

  3. The decisions of the Judging Panel, once made, shall be final, conclusive, and binding on all Participants. No correspondence, appeal, or challenge in respect of the evaluation process or the decisions of the Judging Panel shall be entertained under any circumstances.

  4. Participants selected as winners shall be notified through the contact information provided at the time of registration. NxtWave shall not be liable for any delay, miscommunication, or failure in such notification due to incorrect or outdated contact details.

  5. NxtWave may, at its discretion, introduce rewards and prizes for top-performing Participants from time to time. Any benefits, incentives, or rewards, if any, offered under such initiatives shall be discretionary and contingent upon the fulfillment of the eligibility criteria as may be determined by the Company. The Company reserves full authority to modify, suspend, or discontinue any such initiative at any time without prior notice or liability.

  6. The distribution of Prizes, if any, shall be carried out at such time and in such manner as the Company may determine in its sole discretion. Any timelines indicated in connection with Prize distribution are estimates only and shall not be construed as a commitment or obligation on the part of NxtWave. The Company shall not be liable for any delay, non-delivery, or change in the mode of Prize fulfillment, however caused, and Participants shall have no right to make any claim against the Company on account thereof.

  7. All Prizes awarded pursuant to the Programs are non-transferable, non-exchangeable, and not redeemable for cash or any other consideration. NxtWave reserves the right to substitute any Prize with an alternative of equivalent or greater value, at its sole discretion and without prior notice.

  8. All taxes, levies, and statutory deductions, if any, arising from the receipt of any Prize shall be the sole responsibility of the Participant. NxtWave shall not be liable to provide any tax advice or bear any tax liability arising from such receipt.


  1. No Admission or Guarantee

Participation in the Programs shall not be construed as, nor shall it constitute, an offer of admission, confirmation of seat, grant of scholarship, assurance of placement, or automatic enrollment into NIAT or any other program offered by NxtWave. Nothing contained in these Terms, nor any communication, representation, performance, evaluation outcome, ranking, certificate, recognition, or Prize awarded pursuant to the Programs, shall create or be deemed to create any right, entitlement, claim, assurance, or legitimate expectation of admission into any program conducted by NxtWave. Admission to any separate program of NxtWave shall be subject to independent eligibility criteria, application and selection processes, screening requirements, submission of documentation, payment of applicable fees, execution of separate legally binding agreements, and such other terms and conditions as may be prescribed by NxtWave from time to time, at its sole discretion.


  1. Miscellaneous

  1. These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, shall first be referred in writing to the NxtWave for an amicable resolution. In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Programs, the Parties shall first attempt to resolve the matter through good-faith negotiations. The aggrieved Party shall provide a detailed written notice of the dispute to NxtWave. Following such notice, authorized representatives of both Parties shall engage in discussions for a period of at least 30 (thirty) days to reach an amicable settlement.  If the dispute cannot be resolved through the amicable process described above, the courts in Hyderabad, India, shall have exclusive jurisdiction to settle any such dispute or claim.

  2. Each Participant agrees to indemnify, defend, and hold harmless NxtWave, its affiliates, officers, directors, employees, agents, and representatives from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) any breach by the Participant of these Terms or any applicable law; (b) any third-party claim alleging that the Participant’s Submission infringes or misappropriates any intellectual property or proprietary right; (c) any misrepresentation, fraud, negligence, or misconduct by the Participant during the course of the Programs; or (d) any unauthorized use or disclosure of confidential or proprietary materials provided by NxtWave. This obligation shall survive completion, expiration, or termination of the Programs.

  3. The Programs and all related services, materials, and third-party content are provided on an “as is” and “as available” basis. NxtWave disclaims all express and implied warranties, including those of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access. To the fullest extent permitted by law, NxtWave and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages, including loss of profits, data, or business, arising from participation in the Programs, technical issues, third-party tools, or use/misuse of any Prize.

  4. The provisions of these Terms which by their nature are intended to survive termination shall so survive, including without limitation Clause 7 (Judging and Prizes), Clause 8 (Disqualification), Clause 9 (Intellectual Property), Clause 14 (Miscellaneous), and this Clause. Any other provisions which by their nature ought or are intended to survive the termination or expiration of these Terms shall remain in full force and effect notwithstanding such termination.

  5. NxtWave reserves the right to amend, modify, or update these Terms at its sole discretion, at any time, without prior notice. Any such changes shall be effective immediately upon being posted on the official website along with the date of revision. Continued participation in the Programs after such posting shall constitute deemed acceptance of the revised Terms.

  6. No failure or delay by NxtWave in exercising any right, remedy, or power under these Terms shall constitute a waiver thereof, nor shall any single or partial exercise preclude any further exercise of such right or any other right, remedy, or power.

  7. These Terms, together with the Privacy Policy, Cookie Policy, constitute the entire agreement between the Parties with respect to the Programs. All prior agreements, understandings, or communications, whether oral or written, are hereby superseded.

  8. If any provision of these Terms is held to be invalid, unlawful, or unenforceable under applicable law, such provision shall be severed and the remaining provisions shall remain in full force and effect.

  9. The Participant may not assign, delegate, or transfer any rights or obligations under these Terms without the prior written consent of NxtWave. Any such attempted assignment without consent shall be null and void.

  10. Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between the Participant and NxtWave. Each Party shall remain an independent entity.

  11. NxtWave shall not be liable for any failure or delay in performance under these Terms due to force majeure events that are beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, governmental restrictions, labor disputes, or interruption of internet or communication services.
